Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Floyd (“Floyd,” “we,” “us,” or “our”), including our website, APIs, software, dashboards, and documentation (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.
If you do not agree, do not use the Services.
1. Legal Entity & Contact

2. Eligibility & Authority
You must be at least 18 years old (or the age of majority where you live) to use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
3. Definitions
- Client / You: The developer, agency, or business using Floyd.
- Workspace: A container for your resources, policies, configurations, keys, and billing.
- Authorized User: Any person you allow to access your Workspace.
- End User: A person interacting with your product/agent (e.g., a caller or chat user).
- Agent: Your software or AI system that calls Floyd APIs.
- Resource: Anything that can be reserved (staff, rooms, equipment, etc.).
- Availability Search: A request that returns candidate slots based on policies and existing reservations.
- Hold: A short-lived reservation intended to reduce conflicts while your agent completes a flow.
- Booking: A reservation record created via Floyd.
- Confirmed Booking: A Booking in a final “confirmed/committed” state as measured by Floyd (the billable unit unless your plan states otherwise).
- Usage: Measured activity used for billing (e.g., Confirmed Bookings), as defined on your plan, pricing page, or order form.
- Client Content: Data and configurations you submit to the Services, including End User scheduling data.
4. The Services
Floyd provides headless scheduling primitives (e.g., availability search, holds, bookings, deterministic policies, idempotency, webhooks/logs where available).
You are responsible for:
- the behavior, prompts, and outputs of your Agents,
- obtaining required consents from End Users,
- your own customer support and business operations.
Floyd is an infrastructure provider. We generally do not provide an End User UI unless explicitly stated.
5. Accounts, API Keys, and Security
- You must provide accurate account information and keep it updated.
- You are responsible for safeguarding your API keys, tokens, and credentials.
- You are responsible for all activity under your account, Workspace, and API keys, including activity by Authorized Users.
- If you believe credentials have been compromised, you must notify us promptly and rotate/revoke affected keys.
6. API Use, Limits, and Acceptable Use
You agree not to:
- use the Services for illegal activities, spam, harassment, or abuse,
- interfere with or disrupt the Services (including excessive load, DDoS, or circumventing rate limits),
- reverse engineer or attempt to extract our source code (except to the extent prohibited by law),
- sell, resell, or lease the Services as a standalone product without your own value-added product (unless explicitly permitted by your plan or an order form).
We may enforce rate limits, quotas, throttling, or other safeguards to protect platform stability.
7. Provider Integrations (When Available)
Some features may support connecting third-party providers (e.g., external calendars) in the future. If you use such features:
- You represent you have all necessary rights and consents to connect those accounts and process associated data.
- You acknowledge third-party providers may experience outages, rate limits, latency, or API changes.
- Floyd is not responsible for failures caused by third-party providers.
8. Data, Privacy, and End User Consent
- You are responsible for obtaining all required consents and providing all required notices to End Users for collecting and processing scheduling data.
- In the context of End User scheduling data, you are the Data Controller and Floyd is a Data Processor.
- We may retain logs and metadata for security, debugging, fraud prevention, and product improvement as described in our Privacy Policy.
9. Billing, Plans, and Payments
- Fees: The Services may be billed via subscription fees and/or usage-based fees, as described on your plan, pricing page, or order form.
- Usage Measurement: Usage is measured by Floyd systems unless we confirm a billing error.
- Payment Processing: Payments are processed through our payment provider. You authorize us to charge your payment method for applicable fees.
- No Refunds: Fees are generally non-refundable except where required by law.
- Nonpayment: Late or failed payments may result in suspension, downgrade, or termination.
- Taxes: You are responsible for applicable taxes unless we are required by law to collect them.
10. Intellectual Property
- Floyd IP: We retain all rights, title, and interest in the Services, APIs, software, and documentation.
- Client Content: You retain ownership of your Client Content. You grant Floyd a limited, non-exclusive license to host, process, transmit, and display Client Content solely to operate, secure, and improve the Services.
- Feedback: If you provide feedback or suggestions, you grant Floyd a perpetual, irrevocable, royalty-free license to use it without restriction or obligation.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee:
- that Holds will prevent 100% of conflicts under all conditions,
- uninterrupted or error-free operation,
- that your Agents will behave correctly or comply with your policies,
- that End Users will attend appointments or that outcomes will meet your expectations.
12. Limitation of Liability
To the fullest extent permitted by law:
- Floyd is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, loss of data, or goodwill).
- Floyd’s total cumulative liability for any claim will not exceed the fees you paid to Floyd in the three (3) months prior to the event giving rise to the claim.
13. Indemnification
You agree to defend and indemnify Floyd LLC from claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:
- your Agents, End Users, and your products/services,
- your breach of these Terms,
- your violation of law or third-party rights,
- disputes between you and any End User or third party.
14. Suspension and Termination
We may suspend or terminate your access if:
- you breach these Terms,
- your usage poses a security, legal, or operational risk,
- you fail to pay fees.
Upon termination, your right to use the Services ends. We may delete or anonymize Client Content in accordance with our data retention practices, unless legally required to retain it.
15. Export Controls and Sanctions
You may not use the Services in violation of U.S. export laws or sanctions. You represent that you are not located in, and are not a national of, any jurisdiction subject to comprehensive sanctions, and you are not on any restricted party list.
16. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes (e.g., via email or dashboard notice). Continued use after changes become effective constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.
18. Miscellaneous
- Entire Agreement: These Terms are the entire agreement between you and Floyd regarding the Services.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No Waiver: Failure to enforce a provision is not a waiver.
- Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
- Survival: Sections intended to survive (including IP, disclaimers, limitation, indemnity) will survive termination.
