Terms of Service

These Terms of Service ("Terms") govern your access to and use of Floyd ("Floyd," "we," "us," or "our"), including our website, APIs, software, dashboards, and documentation (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.
If you do not agree, do not use the Services.
1. Legal Entity & Contact

2. Eligibility & Authority
You must be at least 18 years old (or the age of majority where you live) to use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
3. Definitions
- Client / You: The developer, business, or individual using Floyd.
- Workspace: A container for your agents, configurations, API keys, and billing.
- Agent: An AI-powered software program deployed and run through the Services.
- Sandbox: A persistent cloud compute environment provisioned for your Agent.
- Run: A single execution of an Agent in its Sandbox.
- Client Content: Data, instructions, and configurations you submit to the Services.
4. The Services
Floyd provides cloud infrastructure for running AI agents, including persistent sandboxes, autonomous execution, tool access (bash, file I/O, web search), and a management dashboard.
You are responsible for:
- the behavior, instructions, and outputs of your Agents,
- ensuring your Agents comply with applicable laws,
- the security of any credentials or API keys stored in your Workspace.
Floyd is an infrastructure provider. We execute your Agent code but do not control or monitor Agent outputs.
5. Accounts, API Keys, and Security
- You must provide accurate account information and keep it updated.
- You are responsible for safeguarding your API keys, tokens, and credentials.
- You are responsible for all activity under your account and Workspace.
- If you believe credentials have been compromised, notify us promptly.
6. Acceptable Use
You agree not to:
- use the Services for illegal activities, spam, harassment, or abuse,
- deploy Agents that intentionally cause harm, distribute malware, or attack systems,
- interfere with or disrupt the Services,
- reverse engineer or attempt to extract our source code (except to the extent prohibited by law),
- resell the Services as a standalone product without your own value-added product,
- exceed published rate limits or resource quotas.
We may enforce rate limits, quotas, and resource caps to protect platform stability.
7. Agent Execution and Sandboxes
- Agents run in isolated Sandboxes with persistent storage.
- Floyd provides best-effort uptime but does not guarantee uninterrupted execution.
- Scheduled Runs execute at approximately the configured times but may be delayed.
- You are responsible for the costs of any LLM API calls your Agents make.
8. Data, Privacy, and Content
- You retain ownership of your Client Content.
- You grant Floyd a limited license to host, process, and transmit Client Content solely to operate the Services.
- We may retain logs and metadata for security, debugging, and improvement as described in our Privacy Policy.
- You are responsible for ensuring your Agent does not process data in violation of applicable privacy laws.
9. Billing and Payments
- Fees are described on our pricing page or your order form.
- Usage is measured by Floyd systems.
- Payments are processed through our payment provider. You authorize charges to your payment method.
- Fees are generally non-refundable except where required by law.
- Late or failed payments may result in suspension or termination.
- You are responsible for applicable taxes.
10. Intellectual Property
- Floyd IP: We retain all rights to the Services, APIs, software, and documentation.
- Client Content: You retain ownership of your Client Content.
- Feedback: If you provide feedback, you grant Floyd a perpetual, royalty-free license to use it.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee:
- uninterrupted or error-free operation,
- that your Agents will behave correctly,
- specific uptime or latency for Sandbox execution,
- specific timing or availability of agent Runs.
12. Limitation of Liability
Floyd is not liable for indirect, incidental, special, consequential, or punitive damages. Floyd's total cumulative liability will not exceed the fees you paid in the three (3) months prior to the event giving rise to the claim.
13. Indemnification
You agree to defend and indemnify Floyd LLC from claims arising from your Agents, your breach of these Terms, or your violation of law or third-party rights.
14. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, your usage poses a risk, or you fail to pay fees. Upon termination, we may delete Client Content in accordance with our data retention practices.
15. Changes to These Terms
We may update these Terms. We will provide notice of material changes. Continued use after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.
17. Miscellaneous
- Entire Agreement: These Terms are the entire agreement regarding the Services.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- Assignment: You may not assign without our consent; we may assign in connection with a merger or acquisition.
- No Waiver: Failure to enforce a provision is not a waiver.
- Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
